Purpose of the Job: To provide comprehensive company secretarial support and be responsible for Legal counsel to the Group Company Secretariat including the board and board sub-commission of Letshego Group Holdings (LGH) and developing close working relationships with external stakeholders, in particular the NSX and Bank of Namibia.

Critical Deliverables /Core Accountabilities and Responsibilities:

1. Provide guidance to the Board of Directors on corporate governance matters ensuring adherence to best practices, Board Charters, NSX listing Requirements and Banking Regulations

2.Organise and manage board and committee meetings, prepare agendas, minutes, resolutions, and board packs, and ensure compliance with corporate governance standards

3.Maintain accurate and up-to-date corporate records and ensure timely filing of statutory and regulatory documents with relevant authorities

4.Facilitate and advise the Board on Director appointment and induction

5.Facilitate annual Board Training and Assessments

6.Guide and support Management and the Board to effectively deal and comply with all legal instruments, taking cognizance of the environment within which the Group operates

7.Identify legal risks and develop strategies to mitigate them

8.Oversee drafting, negotiation and review of contracts, agreements, and all legal documents

9.Serve as a key advisor to the CEO, Board of Directors, and other executives on all matters related to corporate governance and legal risk

10.Provide legal advice and counsel business units on legal matters

11.Maintain effective Contract Management System

12.Lead, mentor, and develop a team of professionals, fostering a high-performance culture

13.Build and maintain relationships with external stakeholders, including regulatory bodies, legal advisors, and industry associations.

14.Communicate legal and compliance policies across the organization, promoting a culture of legal awareness.

15. Attend to pending legal cases and defending in appropriate circumstances with external legal counsel.

16. Manage external legal attorney panel, monitor legal expenses and oversee the resolution of legal disputes referred



Required Qualifications, Knowledge and Skills:

1.LLB or equivalent law degree and admission as attorney or advocate of High Court of Namibia

2.Minimum of 10 years in corporate legal roles, with at least 5 years in a senior leadership capacity.

3.Comprehensive understanding of corporate law, compliance frameworks, and corporate governance best practices.

4.Strong analytical, communication, and interpersonal skills; demonstrated leadership and team management abilities.

5.Excellent command of English language.

6.Self-starter with excellent communication, organization and presentation skills, proactively seeking out opportunities to improve processes and ensure the effective functioning of the Secretariat.

7.Conflict handling skills.

8.Ability to work under pressure while maintaining high service levels.
